Polokwane shopping centre among properties in proposed acquisition

City Centre Polokwane and Lephalale Mall are among six shopping centre properties included in a proposed acquisition involving Luxanio Trading, Eptacor and Mergence Africa Property Fund.

The Competition Commission recommended that the Competition Tribunal approves the transaction without conditions, spokesperson Siyabulela Makunga said in a statement issued on Thursday, 22 October 2026.

The transaction involves Luxanio acquiring two rental enterprises from Eptacor and six immovable rental enterprises from the Moolman Group.

The two properties linked to Eptacor are Kaalfontein Corner and Makro Bloemfontein.

The six Moolman Group properties are Lephalale Mall, Sasolburg Mall, City Centre Polokwane, Game Centre Vryburg, Great North Plaza and Rand Steam Shopping Centre.

Luxanio is wholly controlled by Mergence, which is in turn controlled by Dipula.

The acquiring group owns rental properties across South Africa, including more than 16 retail properties in Gauteng and a retail property in Polokwane, Limpopo.

The Commission assessed the proposed transaction in terms of its potential impact on competition and the public interest.

It found that the acquisition was unlikely to substantially lessen or prevent competition in any market.

The Commission also found that the transaction did not raise significant public interest concerns.

It has therefore recommended that the Competition Tribunal approves the transaction without conditions.

The recommendation concerns the proposed acquisition and should not be interpreted as confirmation that the transaction has already been finalised.

The deal is among several mergers considered by the Commission during its ordinary meeting on 20 October 2026
